Terms of Service.

These Terms of Service ("Terms") govern your use of the Agent-0 mobile application, this website, and related services (together, the "Services") provided by The Architect Array ("we", "us", "our"), a technology company based in Lagos, Nigeria. By creating an account or using the Services you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and your account

You must be at least 18 years old and capable of entering a binding contract to use Agent-0. You agree to provide accurate information when registering, to keep it up to date, and to keep your password, PIN, and device secure. You are responsible for all activity on your account.

2. What Agent-0 is

Agent-0 is a marketplace platform that connects property seekers, tenants, realtors, landlords, and caretakers. We provide discovery, booking, communication, escrow-backed payments, and tenancy management tools. Except where expressly stated, we are not a party to the rental, sale, or tenancy agreement formed between users; that agreement is between the client and the realtor or landlord.

3. Roles and verification

• Clients can browse listings, book viewings and short-let stays, and pay in-app.
• Realtors and landlords must complete identity verification (KYC), including NIN verification, before listing properties or receiving payouts.
• Realtors must be the owner of, or duly authorized to market, every property they list, and must be able to provide supporting documents on request.
• Submitting false, forged, or misleading documents leads to listing removal and account sanctions. Repeated violations lead to a permanent ban from the platform.

4. Bookings and escrow

When you pay for a short-let booking, your money is held in escrow and is not released to the realtor until after your check-in time. This protects both sides: the realtor knows the booking is funded, and you know the money only moves once your stay begins. A stay runs from the check-in time on your start date for the number of nights booked.

5. Cancellations and refunds

For short-let bookings:

• If the realtor cancels or declines your booking, you receive a full refund to your wallet.
• If you cancel more than 1 hour before check-in, a 15% cancellation fee applies and 85% is refunded to your wallet.
• If you cancel within the last 1 hour before check-in, a 50% cancellation fee applies.
• Cancellations are not accepted after the check-in time has passed.
• If we cancel a booking on the platform's behalf (for example where a listing breaches our rules), you receive a full refund with no penalty.

6. Rent payments and tenancies

Landlords can create tenancies, invite tenants, and collect rent in-app. Rent paid through Agent-0 goes directly to the landlord's wallet and is recorded against the relevant rent period. Rent payments are not held in escrow and, once applied to a rent period, are refundable only by agreement between tenant and landlord or as required by law.

If you enable auto-pay for rent, you authorize us and our payment processor to charge your saved payment method on your rent due dates. You confirm the mandate with your PIN when you set it up and you can cancel auto-pay at any time before a charge is initiated. Landlords may also record rent received outside the app for bookkeeping; such offline payments are between tenant and landlord.

7. Wallet and withdrawals

Your wallet shows funds you can spend in-app or withdraw to your verified Nigerian bank account. Withdrawals are processed through our payment processor and normally arrive within minutes, but can take up to 48 hours. If a transfer fails, the amount is returned to your wallet. Escrowed amounts are shown separately and cannot be withdrawn until they are released.

8. Tokens, subscriptions, and fees

• AI tokens power smart search and Otis features. Tokens are consumed on use and consumed tokens are not refundable. Unused token balances have no cash value outside the app.
• Realtor subscription plans renew per their billing cycle until cancelled. Cancelling stops future renewals; fees already paid for the current cycle are not refunded.
• We charge a platform service fee on money paid through the platform. The fee is deducted from the amount paid out to the realtor or landlord on bookings and rent; clients pay the listed price with nothing added on top. Any change to the fee is announced before it takes effect.

9. Otis and AI features

Otis is an AI assistant that can answer enquiries and negotiate on a realtor's behalf within limits the realtor sets. AI output can be inaccurate or incomplete. You are responsible for the limits you configure and for verifying important details (price, availability, dates, property condition) before committing to a transaction. AI features do not provide legal, financial, or professional advice.

10. Acceptable use

You agree not to:

• Post fake, misleading, or duplicate listings, or list property you are not authorized to market.
• Take payments off-platform to avoid escrow protections or fees for transactions initiated on Agent-0.
• Harass, defraud, or discriminate against other users.
• Upload unlawful content or content that infringes someone else's rights.
• Interfere with the Services, attempt to access other users' accounts or data, or scrape the platform.

11. Your content

You keep ownership of the content you upload (photos, descriptions, reviews, messages). You grant us a non-exclusive, royalty-free licence to host, display, and distribute that content as needed to operate and promote the Services. You are responsible for having the rights to everything you upload.

12. Suspension and termination

We may suspend or terminate accounts that breach these Terms, fail or abuse identity verification, or create risk for other users or the platform. Where reasonable we will warn you first. You can close your account at any time; obligations from transactions entered before closure survive it. Repeated document fraud or serious misconduct results in a permanent ban.

13. Disclaimers

The Services are provided "as is". We verify realtor identities and review listing documents, but we do not guarantee the condition, legality, or suitability of any property, and we are not responsible for the conduct of users. Always inspect a property and confirm terms before paying rent or completing a purchase outside the protections we provide in-app.

14. Limitation of liability

To the maximum extent permitted by law, The Architect Array is not liable for indirect, incidental, or consequential losses arising from your use of the Services. Our total liability for any claim is limited to the greater of the fees you paid us in the 12 months before the claim and NGN 100,000. Nothing in these Terms excludes liability that cannot be excluded under Nigerian law.

15. Indemnity

You agree to indemnify The Architect Array against claims and losses arising from your breach of these Terms, your content, or your misuse of the Services.

16. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. If you have a dispute, contact our support team first through Help & Support in the app or via hub@thearchitectarray.com; most issues are resolved there. Disputes that cannot be resolved amicably are subject to the jurisdiction of the courts of Lagos State, Nigeria.

17. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced in the app or on this website before they take effect. Continued use of the Services after an update means you accept the revised Terms.
